Terms of Service

Welcome to MooseTraxx. These Terms of Service ("Terms") govern your access to and use of the MooseTraxx platform, including our website at moosetraxx.com, browser extension, mobile applications, and related services (collectively, the "Service"), operated by MooseTraxx, LLC, a Massachusetts limited liability company ("MooseTraxx," "we," "us," or "our").

By creating an account, installing our browser extension, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To use certain features of the Service, you must create an account by providing a valid email address and creating a password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at privacy@moosetraxx.com if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

3. Description of Service

MooseTraxx is an AI-powered meeting performance platform delivered primarily through a browser extension for Google Chrome and very soon Microsoft Edge. The Service analyzes meeting audio in real-time to provide facilitation guidance, meeting effectiveness scoring (MooseScore), and related features.

The Service requires an active internet connection, a compatible web browser, and access to supported meeting platforms (currently Google Meet). Audio capture requires explicit user initiation through the browser extension.

4. Subscriptions and Payment

4.1 Subscription Plans

MooseTraxx offers subscription plans on a monthly or annual basis. Current plans, pricing, and included hours are available on our pricing page at moosetraxx.com. Subscription hours are measured in 15-minute increments (for example, a 32-minute meeting is billed as 30 minutes).

4.2 Billing Cycle

Subscriptions are billed on an anniversary basis. Your billing cycle begins on the date you subscribe and renews on the same date each month (for monthly plans) or year (for annual plans). Included hours reset at the beginning of each billing cycle.

4.3 Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. All payments are processed through Paddle's secure checkout. MooseTraxx never directly collects, processes, or stores your payment card information. By completing a purchase, you also agree to Paddle's Terms of Use (paddle.com/legal/terms) and Privacy Policy (paddle.com/legal/privacy).

4.4 Grace Periods

Professional plan subscribers who exceed their monthly hour allotment may receive grace extensions. Each grace extension provides 5 additional hours for the current billing cycle. Grace extensions are limited to 2 per account lifetime and do not reset, even if you change plans. Grace extensions are provided at MooseTraxx's sole discretion and are not guaranteed.

4.5 Add-On Hour Packs

You may purchase additional hours in 5-hour packs. Pack hours are consumed only after your monthly subscription hours are exhausted. Pack hours do not expire. Add-on hour pack purchases are non-refundable.

4.6 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your account settings or by contacting Paddle. Cancellation takes effect at the end of the current billing cycle — you will retain access to the Service until your current paid period expires.

4.7 Price Changes

We may change subscription pricing from time to time. Any price increase will take effect at the start of your next billing cycle following at least 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

5. Refunds and Cancellation

Please refer to our Refund Policy at moosetraxx.com/refund-policy for complete details regarding refunds and cancellation. In summary: monthly subscriptions are non-refundable, annual subscriptions may be refunded within 14 days of purchase or renewal, and add-on hour packs are non-refundable. Cancellation allows continued access through the end of the current billing period.

6. Acceptable Use

You agree not to use the Service to:

You are responsible for ensuring that your use of the Service complies with all applicable laws regarding recording consent, wiretapping, and electronic surveillance in your jurisdiction. Many jurisdictions require all-party consent before conversations may be processed by third-party tools. MooseTraxx provides built-in notification features — including automated in-meeting chat messages — to help you meet these obligations, and you agree to keep these notification features enabled. MooseTraxx does not provide legal advice regarding consent requirements.

7. Intellectual Property

7.1 MooseTraxx Ownership

The Service — including its software, design, features, documentation, MooseScore algorithm, scoring methodology, facilitation logic, brand elements, and all related intellectual property — is and remains the exclusive property of MooseTraxx, LLC. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms for the duration of your subscription. This license does not transfer any ownership rights to you.

7.2 Your Content

You retain all ownership rights to any content you provide to or generate through the Service, including meeting audio, transcripts, goals, agendas, and configurations ("Your Content"). MooseTraxx claims no ownership over Your Content.

7.3 Limited Processing License

By using the Service, you grant MooseTraxx a limited, non-exclusive, temporary license to process Your Content solely for the purpose of providing the Service to you. This includes transmitting data to our third-party service providers for real-time processing as described in our Privacy Policy. This license is strictly transient — it exists only for the duration of active processing and terminates when the meeting session ends and data is deleted.

7.4 No AI Training on Your Content

MooseTraxx does not use Your Content — including meeting audio, transcripts, or any derived data — to train, fine-tune, or improve any artificial intelligence or machine learning models. Our third-party service providers are contractually prohibited from using Your Content for their own model training purposes.

7.5 MooseScore Algorithm Protection

The MooseScore algorithm, including its factor weights, scoring methodology, and calibration parameters, constitutes proprietary trade secrets of MooseTraxx, LLC. You agree not to attempt to reverse engineer, replicate, or derive the scoring methodology through any means, including systematic testing, API probing, or analysis of scoring outputs.

7.6 Feedback

If you provide suggestions, ideas, or other feedback about the Service ("Feedback"), you grant MooseTraxx an irrevocable, perpetual, royalty-free license to use that Feedback for any purpose without obligation to you. Feedback does not include Your Content as defined in Section 7.2.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate meeting facilitation suggestions, effectiveness scores, agenda recommendations, and other outputs ("AI Outputs"). AI Outputs are provided for informational purposes only and may be inaccurate, incomplete, or inappropriate for your specific context.

You are solely responsible for evaluating and acting upon AI Outputs. MooseTraxx does not guarantee the accuracy, reliability, or suitability of any AI-generated content. The MooseScore is a relative measure of meeting effectiveness based on observable patterns and should not be treated as a definitive assessment. Meeting facilitation suggestions reflect general best practices and may not account for the specific dynamics of your meeting.

Do not rely on AI Outputs as a substitute for professional judgment, and do not use MooseScore results as the sole basis for employment, performance evaluation, or disciplinary decisions.

9. Privacy

Your use of the Service is also governed by our Privacy Policy at moosetraxx.com/privacy-policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

12. Indemnification

You agree to indemnify, defend, and hold harmless MooseTraxx, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including recording consent and privacy laws; or (d) your violation of any third-party rights.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact us at legal@moosetraxx.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and held in Boston, Massachusetts, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You may opt out of the binding arbitration and class action waiver provisions in Sections 13.2 and 13.3 by sending written notice to legal@moosetraxx.com within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Suffolk County, Massachusetts.

13.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.

15. Termination

15.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings or Paddle, and by ceasing use of the Service. Upon cancellation, you will retain access to the Service through the end of your current paid billing period.

15.2 Termination by MooseTraxx

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to the email address associated with your account. If we terminate your account without cause, we will provide a pro-rated refund for any prepaid, unused subscription period. If we terminate your account for violation of these Terms, no refund will be provided.

15.3 Effect of Termination

Upon termination, your license to use the Service immediately ends. Any Meeting Trends data associated with your account will be deleted within 30 days of account termination. Provisions that by their nature should survive termination (including Sections 7, 8, 10, 11, 12, 13, and 14) will survive.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top. If we make changes that materially affect your rights, we will provide additional notice through the Service or by email. Your continued use of the Service after changes are posted constitutes your acceptance. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and MooseTraxx regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. MooseTraxx may assign its rights and obligations under these Terms without restriction.

Notices. Notices to MooseTraxx should be sent to legal@moosetraxx.com. Notices to you will be sent to the email address associated with your account.
